Inline XBRL does not extend the Form 10-K filing deadline. Companies subject to Inline XBRL requirements need to complete tagging, review, validation, and submission within their applicable filing period. Start preparation while the annual report is being drafted, then reserve time to check the final filing package.

Inline XBRL, or iXBRL, embeds machine-readable data in the human-readable report. Because those tags must reflect the final disclosures, XBRL work belongs in the same schedule as financial reporting, legal review, and EDGAR submission.

XBRL and the 10-K Filing Deadline

The standard Form 10-K deadline depends on filer status and fiscal year-end:

Filer status Standard deadline after fiscal year-end
Large accelerated filer 60 calendar days
Accelerated filer 75 calendar days
Non-accelerated filer 90 calendar days

These periods come from the SEC’s Form 10-K instructions. If the due date falls on a Saturday, Sunday, or federal holiday, the deadline generally moves to the next business day under Exchange Act Rule 0-3.

Confirm your company’s filer status and actual due date before setting internal milestones. Smaller reporting company status alone does not establish a 90-day deadline; see the SEC’s filer-status guidance.

When to Start XBRL Work

Begin planning before the financial statements are final. Review the prior-year filing, identify new disclosures, and agree on draft delivery and review dates with your Inline XBRL tagging provider. Tagging can begin once a reliable draft is available and continue as the report develops.

Allow more review time for acquisitions, new reporting segments, accounting changes, or substantial footnote revisions. Review prior-year tags against current disclosures and the taxonomy used for the filing. For background, see our guide to Inline XBRL tagging.

How Much Time to Allow for XBRL

Separate provider production time from your own review and approval time. Ask when the first tagged proof will arrive, how revisions will be handled, and when final validation will occur. A fast initial tagging turnaround still needs to leave room for changed disclosures, questions, and sign-off.

A Practical 10-K XBRL Timeline

Use these milestones to build a schedule with your finance, legal, and filing teams. Agree on dates based on the report’s complexity and your provider’s review process.

Stage Work to complete Lead responsibility
Before the first reliable draft Review prior-year tags, check taxonomy updates, flag new disclosures, and assign reviewers. Finance and XBRL provider
When draft financials are available Update tagging, assess standard tags before creating extensions, and run initial validation. XBRL provider, with finance review
As the report approaches approval Reconcile tagged values, periods, units, and disclosures to the latest draft. Track late changes and review affected sections again. Finance, legal, and XBRL provider
Before live submission Validate the approved package, resolve blocking errors, assess warnings, and obtain filing authorization. Filing team and designated approver

Use one controlled source version and a clear change log. A revised amount may require a value update without changing the underlying tag; a new disclosure may require a different tagging approach.

Why Validation Should Happen Before Filing Day

Run XBRL validation during preparation and again on the final package. Automated checks help identify technical issues, but reviewers must also confirm that tags accurately represent the report’s content.

The SEC distinguishes errors from warnings. An XBRL error in an Inline XBRL primary document can suspend the entire submission, while a less severe XBRL warning does not necessarily prevent acceptance. Resolve blocking errors and assess warnings; see the SEC’s XBRL validation guidance.

For a same-day Form 10-K filing date, begin live transmission to EDGAR at or before 5:30 p.m. Eastern Time, and confirm acceptance. A submission started after that cutoff generally receives the next business day’s filing date. The SEC’s filing-status guidance explains the rule. Set an earlier internal target to allow time for corrections and resubmission.

Test Acceptance and Live Filing Are Different

An EDGAR test filing helps check whether a package meets technical submission requirements. It does not complete the live filing or establish that every tag is substantively correct. Schedule the live submission separately and check its acceptance message and filing date. The SEC glossary explains test filings and acceptance review.

Final 10-K XBRL Filing Checklist

Before authorizing submission, confirm that:

  • The tagged document matches the approved financial statements, footnotes, and cover-page data.
  • Late changes have been incorporated and affected tags reviewed again.
  • Blocking errors are resolved and validation warnings assessed.
  • EDGAR access and any filing-agent delegation are confirmed, and annual confirmation status has been checked.
  • A designated approver has authorized filing, with time reserved for corrections.

After submission, verify live acceptance and the official filing date.
