  • Reg A+: Simplified process, lower costs, allows raising up to $75M, and targets both accredited and retail investors.
  • IPO: Full SEC registration, higher costs, broader disclosure requirements, and typically larger capital raises with exchange listing.

For Tier 2 offerings, companies must provide audited financial statements prepared in accordance with U.S. GAAP by an independent public accountant registered with the PCAOB. Tier 1 offerings generally do not require audited statements.
